To receive additional information about this program, please complete the Request Information form.
UMass Lowell's Ph.D. in Applied Biology program integrates foundational areas of biology (e.g., Biochemistry, Cell & Molecular Biology, Genetics, Developmental Biology, Evolutionary Biology) with focused interdisciplinary biological research and preparation for career advancement.
The program combines fundamental and rigorous training in the pursuit of new knowledge regarding the mechanisms of biological processes coupled with the skills needed to apply this knowledge in the workforce. In addition to traditional academic careers in research and education at colleges and universities and academic research hospitals and institutes, our graduates are also prepared for non-academic careers.
To provide students an area of focus within the broad field of biology, the Applied Biology program includes four options.
Students select their option anytime during their first two years in the program. Each option contains a list of approved advanced option graduate courses. Students are required to complete at least four advanced courses in their option and two courses outside of their option.
For more information on the curriculum including course listings and degree pathways, visit the Graduate Catalog .
Specific aspects of admission to the Applied Biology Program are described below. These policies are in addition to all the standard requirements for graduate admission described by UMass Lowell Graduate Admissions office.
Admission to the Applied Biology Ph.D. program is contingent on securing a faculty sponsor. It is the responsibility of the applicant to identify potential advisors, communicate with them, and secure a letter of sponsorship from at least one. Letters of sponsorship should be uploaded with your application, and are separate from your three letters of recommendation. Applications that lack a letter of sponsorship are not considered complete, and will not move on to the next round of consideration. Many faculty have their own process for selecting among prospective Ph.D. students, so it is best to contact them early in your application process. Students will have the opportunity to select a different permanent advisor during year 1, but it is anticipated that one of the predetermined potential advisors will serve as the permanent dissertation advisor.
The Graduate Record Exam (GRE) is not required for admission, but may be requested by a faculty sponsor during the evaluation process. The TOEFL (Test of English as a Foreign Language), IELTS, or Duolingo English Test are required from international applicants that come from countries where English is not the primary (official) or second predominant language. A minimum score of 90 is required on the TOEFL.
A personal statement must be submitted that describes the student’s educational background, research experience, and career goals. The student must identify at least one potential faculty advisor in the statement. Particular attention will be given to students who have research experience and display a commitment to pursuing excellence in science.
Three letters of recommendation from professional sources must be submitted at the time of application. Sources may include academic professionals or supervisors/colleagues from a current or previous employer.
February 15, applications received after 2/15 will be considered depending on RA/TA availability.
See the UMass Lowell online Graduate Catalog for additional requirements of the program.
Visit the Graduate Admissions website for more information about the application process.

Part-time PhD and professional doctorate programs are available in various fields of study. While professional doctorate programs emphasize applying research in practical settings and are commonly offered in part-time or online formats, PhD programs require original research contributions. Nevertheless, there are several popular part-time PhD and professional doctorate programs to choose from. The list below provides an overview of some of the most sought-after programs and can help you explore your options.
Since PhD and doctoral programs in criminal justice are for those already working in the criminal justice field, many are part-time and online . A PhD is more research-focused, like the Criminal Justice with a Concentration in Intelligence (Ph.D.) program at the University of North Georgia. A professional doctorate program, like the Doctoral Program in Criminal Justice at Texas State University, is focused on applying academic theories to professional settings. Many of these degrees are available online and on a part-time or full-time basis.
A doctorate or PhD program in nursing is a great option for nurses want to become nurse practitioners, teach at the college level, or conduct original research. Since candidates usually need master’s degrees and previous work experience, many online Doctor of Nursing Practice (DNP) programs are designed for working professionals. There are two types of advanced nursing programs commonly offered, the PhD in Nursing and a Doctor of Nursing Practice (DNP). The Doctor of Nursing Practice (DNP) at Baylor University and the online PhD program at George Washington University are examples of these types of advanced nursing programs.
A PhD in business or Doctorate of Business Administration (DBA) are some of the most common part-time programs designed to be completed while working full-time. Many online DBA programs and online PHD programs in business work especially well for busy professionals. The DBA at Washington University and the Katz Executive DBA from the University of Pittsburgh are examples of online, part-time options for advanced business degrees.
Education doctorates and PhD programs work well for teachers and educators wanting advanced leadership influence in the field. The programs are usually part-time and work around a typical academic schedule. Online education doctorate s focus on applying academic theories to educational settings, while online PhD in education programs are more focused on academia. The PhD program from Harvard University , available on campus and either part-time or full-time, and the part-time Doctor of Education – Online with Residency program from Northeastern University are examples of popular advanced education degree programs.
A doctorate or PhD program in communication is a great option for those already in the communication field who want to enhance their expertise. Since candidates often need a master’s degree and previous work experience in the field to apply, many online communications doctorate programs are designed for working professionals. The online PhD in Communication program at American University and Columbia’s PhD in Communications give examples of popular doctorate and PhD programs in education.
A Doctor of Public Health is one of the most common part-time advanced programs and is designed to be completed while working full-time. Many online public health doctorates work especially well for working professionals, some with work requirements built into the curriculum. That means having a full-time role can actually help you progress more quickly through the program. Boston University and Penn State University both offer part-time PhD programs.
Are part-time phd and doctoral programs offered online.
While it is highly subject-dependent, many PhD and doctoral programs are offered online . However, it’s not only the subject matter that can determine if a program is offered online but the type of degree, too. Since a professional doctoral program is designed for working professionals, it is often offered online and around a typical work schedule. The Doctor of Public Health (DrPH) from John Hopkins University and the public policy PhD programs from George Mason University are examples of these types of flexible programs. However, PhDs are more academia focused and less likely to be offered online since they often have an in-person research component.
The time it takes to complete a part-time PhD program depends on the curriculum, how many courses you take each semester, and the timeline for your dissertation. On average, expect a part-time PhD to take three to five years with some programs having a seven-year maximum you can spend on your coursework and dissertation.
While PhD programs cost more than undergraduate and master’s programs, there’s also often more financial aid available to doctoral students. PhD students are often eligible for PhD-specific grants and scholarships as well as fellowship and tuition reimbursement opportunities. For more information on completing your PhD on a budget, check out our financial aid guide .
Most part-time PhDs still have a dissertation requirement. Some professional doctorate programs have shorter research projects or capstones instead, which are less of a commitment than a dissertation. If you are looking for a program with a capstone instead of a dissertation, it’s best to talk directly to the programs you’re interested in about research requirements.
This depends on your chosen field of study. Health-related fields and social work programs typically have residency requirements, but many programs outside of health and social work have them as well. For example, Boston College’s Executive EdD program has summer residency requirements for students. Residencies are often tailored around a working professional’s schedule, though, and work experience can sometimes be substituted in place of the requirement.

I love being a scientist.
But, getting up in the morning and heading into the lab has always been a hassle for me.
I am also quite introverted and prefer being by myself most of the time.
During my PhD, the days I enjoyed most were the ones when I could stay home and focus on writing articles and mining through data.
It was wonderful not having to stand at the lab bench all day.
But, as a scientist, wasn’t I supposed to love bench work?
Was I going to have to keep doing the bench work I hated if I wanted to stay in science?
It seemed like the only option for me after my PhD was to become a postdoc and do more bench work.
This idea caused me stress and anxiety .
I didn’t want to stay in academia, but I wasn’t sure what else to do.
I decided to go to a networking event to explore my career options outside of academia.
At the event, I met someone who was working in the sciences, at home, on her own schedule.
It sounded amazing.
I set up an informational interview with this new connection, and realized that there are many alternative careers available to PhDs, including working remotely.
It was clear to me now, I was going to leave academia and get an industry position where I could work from the comfort of my home.
I brushed up on my interviewing skills and crafted my industry resume .
Surprisingly, I managed to successfully network as a quiet introverted PhD and secure a job referral.
After a series of interviews, I was able to find a job perfectly suited to me.
My new job allowed me to work from home, doing what I love.
The Internet has changed, and continues to change, our society.
According to a study by CISCO, reported in The Huffington Post , there are currently 3 billion unique Internet users around the world and this number is expected to rise to 4.1 billion by 2020.
The Internet is a driving factor in economic growth, and as more and more people are using the Internet, its contribution to the economy will continue to increase.
But, not only is the Internet driving the economy, it’s changing the way people work.
According to the Bureau of Labor Statistics , 38% of people in leadership and managerial positions reported working remotely some or all of the time.
As a PhD, you are well-suited to leadership roles , making remote work a definite possibility for your future.
Working remotely is increasing in popularity, with many large companies offering telecommute opportunities.
A survey by Flexjobs found that 68% of respondents expect to work remotely in the future.
If working remotely appeals to you, there are plenty of options available now, and even more are likely to appear in the future.
But what PhD industry careers are the most well-suited for remote work?
A remote job gives you the freedom to choose where you work.
You could work from home, from a coffee shop, or from your latest travel destination.
Take the initiative to seek out these new opportunities and don’t stay stuck in academia , trapped in an office or lab.
If a flexible job is what you want, you already have the transferable skills to get your desired position.
While many jobs have the potential to be telecommute-friendly, a few stand out from the rest as the best options for PhDs.
Here are the top 5 industry positions that allow you to work from home…
Medical writing is a profession that has gained a lot of steam in the past few years.
There are more biomedical studies now than ever before, and the need for PhDs with high quality communication skills to write about these studies is increasing.
As a medical writer, you will be expected to write about the topics requested by a client, and you will have to work to meet tight deadlines.
But, you won’t have to go to an office to do your work. All your writing can easily be done from home.
Another advantage of medical writing is that you will stay connected to new advancements in the medical field.
Each assignment will be different and you will need to learn new aspects of the medical industry.
Medical writers are truly life-long learners.
Whether you are crafting regulatory documents in clinical research, designing promotional literature, or writing content in a healthcare journal, a medical writer position will require your PhD research prowess and your creativity.
According to PayScale , the average salary for a medical writer is $71,000.
Scientific editing is another career that allows you to maintain a connection with cutting-edge research discoveries without having to spend all your time at the lab bench.
By editing scientific research papers, you will have access to new research in real-time.
In this position, you will organize peer reviews, as well as proofread and edit research papers.
Attention to detail, good time management, and high-level research and writing skills are essential for a scientific editor.
As a PhD, you have already developed these desired transferable skills .
There are many peer-reviewed journals, editing firms, and research institutes in need of PhDs to edit the growing number of research papers.
Editors are needed for all different areas of research.
You can always choose a subject that you are well acquainted with or something outside of your comfort zone.
As a PhD, you can learn anything, so do not feel limited to edit only in scientific areas where you have experience.
According to Glassdoor , the average salary for a scientific editor is $73,000.
In industry, there is a growing need for consultants who can provide businesses with expert advice.
As a PhD, you are an expert in your field and you have high-level learning skills that give you the ability to become an expert in other fields as well.
Consulting is a diverse career that includes scientific consulting, as well as legal, media, or corporate consulting.
The analytical and research skills you have as a PhD make you an ideal candidate for a consulting position.
While many consultants work for a consulting firm, it is also possible to start your own consulting business, which would give you more work flexibility.
As an independent consultant, you need excellent communication and networking skills to find and secure clients.
This is a great job for extroverted PhDs who enjoy networking and making new connections all the time.
An independent consultant also needs a strong entrepreneurial mindset, since you will need to successfully market and sell your services.
The average salary of a consultant varies depending on the field of expertise.
Translation is an uncommon career choice, but it is where fluency in more than one language can be advantageous to the advancement of your career.
Every industry has its own unique technical language, especially the biomedical sciences, that can be difficult for non-scientists to understand.
If you understand scientific or technical lingo in more than one language, you are a great candidate for a career in translation.
Beyond the technical jargon, each culture has its own expressions and, as a translator, being able to express each sentence so it is understood in another language is crucial.
Most translators do not have a scientific background, but as a multilingual PhD you have an advantage over these non-scientists.
As diversity in the US increases and the global economy grows, the demand for translators is expected to increase.
Fluent understanding of more than one language is a great advantage when combined with the transferable skills gained during your PhD, making you a great job candidate.
According to US News , translators can earn up to $78,000 per year.
The senior clinical research associate role is a great alternative industry PhD career , but it’s not normally associated with working remotely.
However, according to Forbes , 78% of senior CRAs report that they are able to complete their jobs remotely.
In the senior CRA role, you will be handling clinical trials and ensuring that every project follows Good Clinical Practice guidelines.
You will be expected to manage teams of people, create project outlines, and meet deadlines — all things you learned to do as a PhD student or postdoc.
The senior CRA is responsible for everything relating to the clinical study, including budget, training, data collection, reports, and maintaining relationships with third parties.
Multitasking, time management and excellent interpersonal skills are big priorities for the senior CRA.
According to PayScale , senior clinical research associates earn an average of $98,987.
No matter what stage of your career you are at, it is not too late to consider changing to a remote working position. The amount of people working remotely is increasing as people become more focused on having a good work-life balance. Working remotely allows you the freedom to choose when and where you work without sacrificing pay. By transitioning out of academia and into an industry position, not only will you finally be paid well , but there are many job options that offer the ability to work remotely, including medical writing, scientific editing, consulting, translating, and senior CRA positions. Thanks to the Internet, working from home has never been easier.

I was determined to stay in academia… until I wasn’t. It took almost six years for me to reach the conclusion that academia just wasn’t for me. My PhD defense was just a few months away, and I can’t lie: I was literally willing myself to stick it out. But what about after that? Professorship had been the goal for me before I ever even enrolled in college. It had been my dream. I had absolutely no idea what to do if it wasn’t going to teach. I knew what I didn’t want: I didn’t want to be tethered to…
It was by chance that I even considered a career in biopharma. As far as I was concerned, academia was all there was. The world of industry was a big question mark to me, and that was fine. I found myself working on a postdoc, waiting for a tenure-track position to open up. At first, it was exciting: a real, paying job as a PhD-level scientist. I showed up early, stayed late, and was happy to do it. But a change happened, gradually. There was so much repetition in my day, and so much emphasis on performing tasks that required…
From the time I started graduate school, there was only one point in the future that I could focus on: the finish line. I was swept up in my own expectations and also caught up in what I thought was expected of me. But something I hadn’t given much thought to was what I actually wanted to do. I was about six months away from defending my thesis. That’s when I started to give some serious thought to what would happen after I added the “Dr.” to my name. It’s when I began to admit to myself that academia was…
Something that comes up a lot when I talk to new PhDs is that they think they don’t have enough on-the-job experience to apply for the high earning jobs they’re perfect for. I see this imposter syndrome prevent PhDs from even trying to apply for jobs – and puts a stop to their journey to getting hired in industry. So they settle. For academia, where they don’t have job security. For jobs that pay less and don’t value their abilities. For a job they’re not interested in and don’t want, but they think it gets them “started” in industry when…
An indomitable spirit is a rare quality, but not among PhDs. Perseverance is a prerequisite that comes standard with every doctorate. It seems like there’s no shortage of things that can stand in the way when you’re pursuing a terminal degree. Yet I’ve only met a handful of PhDs who weren’t cut out for the hardships of academia. They made it past the gauntlet of frustrating academic advisors, endless hours in the lab, and year upon year of compounding stress. But there are some things that arise that you simply can’t prepare yourself to push through. Sometimes life happens. PhDs…
Every week, we at Cheeky Scientist scour the Internet for the best articles on topics that help in the search for the Best of Transition: PhD Job Search in the industry. Our two consultants independently search for the most informative articles in the categories of networking, CVs/resumes, interviews, transferable skills, academic blues, industry positions, and business acumen. Our consultants vote on a top article for each category and a top overall article for the week – if it’s a recent article that can help readers find and acquire PhD jobs, then we want to include it in this weekly digest.…
I just got off the phone with an old friend of mine. We were researchers at the same lab back in our university days. We had lost touch, but when he found me on LinkedIn I couldn’t wait to hear what he’s done since graduation. He told me he had not wound up in chemistry, which had been his major. Biomolecular chemistry, he reminded me. Instead, he decided to pursue a career in patent law. Here’s his transition story: I was in the process of earning my PhD in biomolecular chemistry. That’s where I learned that patents were unrecognized by…
PhDs in the sciences and humanities are not qualified to work in finance or business. At least that’s what I thought. That was until I started hearing more of my former colleagues talk about their transition into consulting and financial service roles. These were people who specialized in very niche areas of science. I was surprised to learn that their skills were needed in the financial and business sectors of industry. What can a PhD in the sciences or humanities possibly contribute to finance and business? As always, it comes down to your transferable skills. These sectors are seeking highly…
I was defending my PhD in 6 months, and I still had no idea what I wanted to do. What job did I want? Where did I see myself in 5 to 10 years? My goal was to get out of academia and into industry – and as quickly as possible. Beyond that, I hadn’t thoroughly considered my options. In fact, when I finally sat down to apply for jobs, I blindly searched for open positions using standard terms: “Researcher,” “Scientist,” “Biologist,” and so on. As a science PhD, that’s what I was qualified for, right? What I didn’t appreciate…

Based in King's Buildings Campus at the University of Edinburgh, our staff and students within the School of Biological Sciences are the modern inheritors of a 400-year-old reputation for excellence with Nobel laureates among our notable alumni.
Currently at the leading edge in teaching, research and innovation, we are ranked top 5 in the UK and top 30 in the world for biological sciences in both the QS and Times Higher Education world university rankings (2024).
Key to our success is the highly dynamic and supportive research environment we offer our postgraduate research community; we offer students the tools and confidence they need to make a lasting, positive impact in our world.
Within the School our research is clustered into six large research institutes:
Join our community and undertake a specialised research project under the guidance of two experienced and well-published supervisors. Our staff have a wide range of research interests and we strongly encourage interdisciplinary research, working closely with physical sciences, engineering, medical and veterinary sciences.
Our PhD programmes are available as full-time or part-time study. The full-time route is 36 months and part-time 72 months, with study normally commencing in October. Both modes of study have an optional additional 12 months, commonly used to write up the final thesis.
The first year of PhD studies is probationary. Your supervisor will identify your training needs and invite you to attend relevant training as appropriate. To successfully progress onto the next year of study students must pass an annual review.
Students submit a 10-week report and a 10-month report, both assessed by the thesis committee. Each committee comprises of the student's supervisory team, the committee chair, and up to two additional academic staff members.
The 10-week report is a short report outlining the project, with the 10-month report an extended version that includes a literature survey. While meeting their thesis committee, students deliver an oral presentation of their work.
Students complete a presentation during the School’s annual Poster Day. Academic staff and peers review presentations, with feedback discussed with the thesis committee during a 2nd year review meeting.
Students deliver a presentation to academic staff and their peers, traditionally during their Institute’s annual symposium. They also submit a thesis plan for their 3rd year review meeting that contains a timetable for completion, content listings of each chapter, completed work and highlighting outstanding tasks.
To be awarded a PhD, students must submit their final thesis and defend it in an oral examination (assessed according to the University's regulations).
We encourage support in a range of academic subjects, transferable skills and personal development. All students who join the programme will have access to our core training and development programme or our specialist cohort-programmes (e.g. EASTBIO).
Our training environment is highly dynamic, with students learning through hands-on, laboratory-based projects as well as guided reading, one-to-one supervision, group seminars, societies and workshops.
The University of Edinburgh Main Library, open to all students, has one of the largest and most important collections in Britain. It has some two million items including the latest publications, key texts, and rare books.
The School of Biological Sciences is based wholly within King's Buildings and in close proximity to the Noreen and Kenneth Murray Library, well stocked with specialist literature, subscription databases and group study rooms and silent study spaces.
Students, dependent on their field of study, will also have access to a range of specialist laboratories and equipment, and state-of-the-art facilities. Examples include:
The School also has strong collaborative links to the Royal Botanic Garden Edinburgh to give access to an even broader range of facilities and expertise.
Postgraduate students are given their own desk space in shared student offices and have similar access to facilities available to academic and support staff. Wireless network access is available in many parts of the University campus.
The School of Biological Sciences offers training events and support for all our postgraduate research students in both academic and key life skills. In collaboration with the University’s Institute of Academic Development (IAD), we also provide a supportive training programme for students hired as tutors and demonstrators.
These entry requirements are for the 2024/25 academic year and requirements for future academic years may differ. Entry requirements for the 2025/26 academic year will be published on 1 Oct 2024.

Cancer Biology (part-time) is no longer accepting new applications.
The MRes in Cancer Biology (part-time) is offered by the Cancer Research UK Cambridge Centre (CRUK CC) as a part-time course incorporating two long research placements with three short periods out of the lab; an intense taught course in cancer genomics, ‘Transferable Skills’ sessions and the third short period offering industry shadowing opportunities. There is also a 36 week course (1 lecture per week) covering general principles of cancer biology as well as insight into how cancers that arise at different sites differ.
The programme aims to introduce clinicians and non-clinicians to research skills and specialist knowledge as well as a more general grounding in cancer biology. Its main aims are:
to give students with relevant experience the opportunity to carry out focussed research in the discipline under close supervision; and
to give students the opportunity to acquire or develop skills and expertise relevant to their research interests; and
to give students a broad grounding in both the theory of cancer genomic medicine and also more insight into the practicalities of clinical cancer treatment and care.
Students should leave the MRes in Cancer Biology (part-time) course with an overview of the basic biology of cancer and of diagnosis, treatment and research frontiers across the range of different tumour types covered by the CRUK Cambridge Centre. Students should also obtain a better understanding of the relationship with industry for the treatment of cancer.
By the end of the MRes programme, students will have:
An understanding of the molecular basis of cancer formation.
Insight into clinical issues related to cancer diagnosis, prognosis and treatment.
Experience of research in two different cancer-related laboratories.
Written two research reports describing their research placements.
Written a PhD proposal that will form the basis of their PhD in the CRUK Cambridge Centre, the expected next destination for the vast majority of this MRes cohort.
The MRes is a part-time 24-month programme that, upon successfully completing to a satisfactory standard, including submission and examination of a suitable PhD proposal, leads directly on to a three-year PhD.
For continuation from the MRes to a probationary PhD, an overall mark of at least 70% is required across the three pieces of work: two research reports and a PhD proposal. The PhD proposal and oral defence thereof must be at the level of distinction (75%).

Thermo fisher scientific completes acquisition of olink, announces commencement of subsequent offering period.
Subsequent Offering Period Scheduled to Expire at 5:00 p.m., New York Time, on July 16, 2024
WALTHAM, Mass.--(BUSINESS WIRE)-- Thermo Fisher Scientific Inc. (NYSE: TMO) (“Thermo Fisher”), the world leader in serving science, today announced that it has completed its acquisition of Olink Holding AB (publ) (“Olink”) (Nasdaq: OLK), a leading provider of next-generation proteomics solutions. The transaction values Olink at approximately $3.1 billion, net of $96 million of acquired cash. Olink will become part of Thermo Fisher's Life Sciences Solutions segment.
“We are excited to welcome Olink colleagues to Thermo Fisher,” said Marc N. Casper, chairman, president and chief executive officer of Thermo Fisher. “Protein research is key to advancing our understanding of human biology and delivering on the promise of precision medicine. Olink’s proven and transformative solutions for proteomics are highly complementary to our leading mass spectrometry and life sciences offerings. By expanding our capabilities in the high-growth proteomics market, we will enable scientists and researchers around the globe to meaningfully accelerate discovery and scientific breakthroughs while delivering significant value to our shareholders.”
The Offer was made pursuant to the Purchase Agreement, dated as of October 17, 2023, by and between Thermo Fisher and Olink and as described in the tender offer statement on Schedule TO, as amended and supplemented from time to time, filed by Thermo Fisher with the U.S. Securities and Exchange Commission (the “SEC”) on October 31, 2023 (the “Tender Offer Statement”). Thermo Fisher, through its wholly owned subsidiary, Orion Acquisition AB (the “Buyer”), today has accepted for purchase all of the outstanding common shares of Olink (“Shares”) and all of the outstanding American Depositary Shares, each representing one Share of Olink (“ADSs” and collectively with the Shares, “Offer Securities”) that were validly tendered and not properly withdrawn prior to the expiration time of the initial offering period for the Offer Securities for $26.00 per Share and per ADS, in cash (the “Offer”). Buyer will promptly pay cash for tendered and accepted Offer Securities. Upon settlement of the Offer, Thermo Fisher will own Offer Securities representing approximately 98.2% of Olink’s outstanding Shares.
Further Transaction Details and Timing
The initial offering period for the Offer and withdrawal rights expired as scheduled at 5:00 p.m., New York time, on July 9, 2024 (the “Expiration Time”). DNB Markets, a part of DNB Bank ASA, Sweden Branch, the depositary and paying agent for the Offer with respect to the Shares, has advised Thermo Fisher and Buyer that, as of the Expiration Time, approximately 84,755,626 Shares have been validly tendered and not properly withdrawn pursuant to the Offer. The Bank of New York Mellon, the tender agent for the Offer with respect to the ADSs, has advised Thermo Fisher and Buyer that, as of the Expiration Time, approximately 37,676,600 ADSs have been validly tendered and not properly withdrawn pursuant to the Offer. These Shares and ADSs collectively represent approximately 98.2% of the outstanding Shares. With all conditions to the Offer satisfied, on July 10, 2024, Buyer has accepted for purchase all Offer Securities that were validly tendered and not properly withdrawn pursuant to the Offer as of the Expiration Time, and payment for such Offer Securities will be made promptly in accordance with the terms of the Offer.
Thermo Fisher also announced the commencement of a subsequent offering period (the “Subsequent Offer”) scheduled to expire at 5:00 p.m., New York time, on July 16, 2024, unless extended (the “Subsequent Offering Period”), as more fully described in the Tender Offer Statement. All Shares and ADSs validly tendered during the Subsequent Offering Period will be immediately accepted for payment, and tendering holders will thereafter promptly be paid the same Offer price of $26.00 per Share or per ADS, as applicable, in cash, without interest and less applicable withholding taxes or other taxes, upon the terms and subject to the conditions set forth in the Offer to Purchase dated as of October 31, 2023 (together with any amendments and supplements thereto, the “Offer to Purchase”). The procedures for accepting the Offer and tendering Offer Securities during the Subsequent Offering Period are the same as those applicable to the Offer as described in the Offer to Purchase, except that Shares and ADSs validly tendered during the Subsequent Offering Period may not be withdrawn. To acquire any Shares that remain untendered following the completion of the Subsequent Offer, Thermo Fisher intends to initiate a compulsory redemption under the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)).
Olink holders who have validly tendered and not properly withdrawn their Shares or ADSs of Olink prior to the Expiration Time do not need to re-tender their Shares or ADSs or take any other action as a result of the Subsequent Offer.
Delisting & Deregistration of Olink’s ADSs
Olink has requested that the NASDAQ Global Market (“Nasdaq”) suspend trading of Olink ADSs and file a Form 25, Notification of Removal from Listing and/or Registration with the SEC, thereby commencing the process of delisting and deregistering the ADSs. Provided that the criteria for deregistration are met, Olink also intends to terminate its reporting obligations under the Securities Exchange Act of 1934, as amended, by filing a Certification and Notice of Termination of Registration on Form 15 with the SEC. Following delisting from Nasdaq, ADSs of Olink will not be listed or registered on another national securities exchange. Delisting is likely to reduce significantly the liquidity and marketability of any ADSs of Olink that have not been tendered pursuant to the Offer or the Subsequent Offer.
Requests for copies of the Offer to Purchase (as amended or supplemented from time to time), the ADS letter of transmittal and the acceptance form for Shares (including the instructions attached thereto) and other Offer materials may be directed to the call service of Georgeson LLC at +1-866-821-2550 (U.S. toll-free), +1-781-222-0033 (outside U.S. & Canada) or +46-846-007-389 (Sweden), or via email at [email protected] . A copy of these documents may be obtained at the website maintained by the SEC at www.sec.gov .
